These Terms of Use (the "Terms") govern your access to and use of www.myyrllc.com (the "Site"), which is operated by MYYR LLC, a Florida limited liability company ("MYYR", "we", "us"). By accessing or using the Site you agree to these Terms. If you do not agree, do not use the Site.

1. The Site is informational only

The Site describes MYYR's capabilities, past performance and contact details. Nothing on the Site is an offer to sell, a quotation, a bid, a price, a promise of availability, a warranty, or a commitment to deliver any product or service. Product lanes, brands, categories and examples are illustrative and change without notice.

2. Purchases are governed by the written contract, not the Site

Any sale of products or services by MYYR is governed exclusively by the written quotation, purchase order, contract or task order applicable to that transaction. For purchases by the United States government or any federal, state or local agency, the applicable solicitation, award document and incorporated regulations (including the Federal Acquisition Regulation and agency supplements where applicable) control, and these Terms do not modify them. In the event of any conflict between the Site and a signed contract, the contract governs.

3. No affiliation with or endorsement by any government agency

MYYR is an independent, privately owned small business. MYYR is not an agency, instrumentality or contractor-representative of the United States government, the Department of Defense, the Department of the Army, the Department of the Air Force, the U.S. Coast Guard, the U.S. Marshals Service, or any other federal, state or local agency. References on the Site to agencies, installations, contract numbers or programs describe MYYR's past or current contract performance only and do not imply sponsorship, endorsement, approval or preferred-vendor status by any agency. No official seal, insignia, emblem or logo of any government entity is used on the Site, and none may be inferred.

4. Third-party products and trademarks

MYYR sources products manufactured by third parties. Manufacturer and product names on the Site, in quotations or in correspondence are the trademarks of their respective owners and are used only to identify the goods. Unless expressly stated in a written contract, MYYR is not the manufacturer of any product it supplies, does not design or fabricate them, and makes no representation of affiliation with, or authorization by, any manufacturer beyond the dealer or distributor arrangements that exist for a given transaction. Product warranties, if any, are those provided by the manufacturer and pass through to the buyer as stated in the applicable contract.

5. No professional advice

Content on the Site is general information about MYYR's business. It is not legal, procurement, contracting, engineering, safety or financial advice, and you should not rely on it as such. Fitness equipment, weapon storage, electrical work and construction involve inherent risks; installation, use and maintenance must follow the manufacturer's instructions and all applicable codes and regulations.

6. Intellectual property

The Site, including its text, layout, graphics, logo, capability statement and other content, is owned by MYYR or its licensors and is protected by copyright, trademark and other laws. You may view, download and print Site content for the purpose of evaluating MYYR as a supplier. Any other reproduction, modification, distribution or commercial use without MYYR's prior written consent is prohibited. "MYYR" and the MYYR mark are trademarks of MYYR LLC.

7. Acceptable use

You agree not to use the Site to do anything unlawful; to interfere with the Site's operation or security; to scrape, harvest or collect information about other users; to send unsolicited or deceptive communications to the addresses published on the Site; to misrepresent your identity or affiliation, including any claim to act for a government agency you do not represent; or to upload or transmit malicious code.

8. Links to other sites

The Site links to third-party websites, including SAM.gov and LinkedIn, for convenience. MYYR does not control those sites and is not responsible for their content, availability, accuracy or privacy practices. A link does not imply endorsement.

9. Disclaimer of warranties

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY OR UNINTERRUPTED OPERATION. MYYR DOES NOT WARRANT THAT THE SITE WILL BE ERROR-FREE, SECURE OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY CONTENT IS CURRENT OR COMPLETE. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MYYR LLC AND ITS OWNER, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AGENTS AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR ANY CONTENT ON IT, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. MYYR'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). This section applies to the Site only; liability under any signed contract for products or services is governed by that contract.

11. Indemnification

You agree to defend, indemnify and hold harmless MYYR LLC and its owner, members, managers, employees, contractors and agents from and against any claims, liabilities, damages, losses and expenses, including reasonable attorneys' fees, arising out of or related to your violation of these Terms, your misuse of the Site, or your violation of any law or the rights of a third party.

12. Privacy

Our Privacy Notice explains what limited information the Site handles. It is incorporated into these Terms.

13. Governing law and venue

These Terms and any dispute arising out of or related to the Site are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Miami-Dade County, Florida have exclusive jurisdiction over any such dispute, and you waive any objection to venue or personal jurisdiction there. Nothing in this section applies to disputes under a government contract, which are governed by the dispute provisions of that contract and applicable law.

14. Changes to the Site and these Terms

MYYR may change, suspend or discontinue any part of the Site at any time without notice, and may revise these Terms by posting an updated version with a new "Last updated" date. Continued use of the Site after a change means you accept the revised Terms.

15. General

If any provision of these Terms is held unenforceable, the remaining provisions stay in effect. MYYR's failure to enforce any provision is not a waiver. These Terms, together with the Privacy Notice, are the entire agreement between you and MYYR regarding the Site. You may not assign these Terms; MYYR may assign them to a successor.
